Terms of Service

By accessing or using ResEthiq, you agree to be bound by these Terms of Service. If you do not agree with these terms, please do not use the platform.

Use of the Platform

ResEthiq is an AI trust and assurance platform designed to help organizations verify datasets, assess AI systems, generate evidence, support compliance, and continuously monitor AI systems in development and production.

You agree to use the platform only for lawful purposes and in accordance with these terms. You must not:

  • Use the platform in violation of applicable laws, regulations, or contractual obligations

  • Attempt to gain unauthorized access to the platform, systems, accounts, or underlying infrastructure

  • Use ResEthiq to facilitate unlawful, harmful, deceptive, or fraudulent activities

  • Submit data that you do not have the legal right or authorization to process

  • Attempt to reverse engineer, decompile, or otherwise extract the source code or proprietary technology of the platform

  • Circumvent security, access controls, usage restrictions, or technical safeguards

  • Resell, sublicense, or redistribute access to the platform without our prior written consent

Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for activities conducted through your account.

You agree to provide accurate information when creating an account and to notify ResEthiq promptly if you suspect unauthorized access or use of your account.

For organizational accounts, the organization is responsible for managing its authorized users and ensuring that users comply with these Terms.

Customer Data and Data Processing

You retain ownership of datasets, documentation, models, information, and other materials that you submit to ResEthiq ("Customer Data").

You grant ResEthiq the limited rights necessary to process Customer Data solely to provide, maintain, secure, and improve the services in accordance with your agreement with us and applicable law.

You are responsible for ensuring that you have all necessary rights, permissions, notices, and lawful bases required to upload and process Customer Data through the platform.

ResEthiq does not claim ownership of Customer Data.

AI Assurance and Verification Results

ResEthiq provides automated and analytical assessments relating to data integrity, AI system risk, compliance, provenance, anomalies, and related assurance indicators.

ResEthiq's outputs, scores, certificates, alerts, and recommendations are intended to support human decision-making and organizational governance. They do not constitute legal, regulatory, financial, medical, or other professional advice and should not be treated as an absolute guarantee that a dataset, model, or AI system is free from risk.

A ResEthiq certification or assurance result represents the outcome of the applicable checks and methodologies performed by the platform at the relevant point in time. It does not constitute a guarantee of future performance, regulatory approval, or permanent compliance.

Intellectual Property

All software, technology, algorithms, methodologies, designs, interfaces, documentation, trademarks, and other intellectual property forming part of ResEthiq are owned by or licensed to ResEthiq and are protected by applicable intellectual-property laws.

Except as expressly permitted under these Terms, you may not copy, reproduce, modify, distribute, reverse engineer, or create derivative works from any part of the platform without prior written permission.

You retain ownership of your Customer Data and your permitted outputs generated through the platform.

Subscriptions and Payments

ResEthiq may offer free trials, paid subscriptions, enterprise plans, professional services, or other commercial arrangements.

By subscribing to a paid service, you agree to pay the applicable fees specified in your order form, subscription agreement, or applicable pricing documentation.

Unless otherwise agreed in writing, fees are billed according to the applicable billing period and are non-refundable except where required by applicable law or expressly stated in the applicable agreement.

ResEthiq reserves the right to modify its pricing and service offerings with reasonable notice to existing customers where applicable.

Cancellation and Termination

You may cancel your subscription in accordance with the applicable subscription or order terms.

Unless otherwise agreed, cancellation will take effect at the end of the applicable billing period, and access to paid features will continue until that date.

ResEthiq may suspend or terminate access where reasonably necessary to protect the platform, enforce these Terms, address security risks, prevent misuse, or comply with applicable law.

Security and Availability

ResEthiq takes reasonable technical and organizational measures designed to protect the platform and Customer Data against unauthorized access, loss, misuse, or alteration.

However, no internet-based service can guarantee absolute security or uninterrupted availability.

Maintenance, upgrades, third-party infrastructure issues, security events, and circumstances beyond our reasonable control may occasionally affect service availability.

Third-Party Services

ResEthiq may integrate with or rely upon third-party infrastructure, cloud services, APIs, data sources, identity providers, or other technologies.

Your use of third-party services may be subject to their respective terms and policies. ResEthiq is not responsible for the availability, security, or performance of third-party services outside its reasonable control.

Limitation of Liability

To the fullest extent permitted by applicable law, ResEthiq shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to your use of the platform.

To the fullest extent permitted by law, ResEthiq's aggregate liability arising out of or relating to the platform or these Terms shall not exceed the fees paid by you to ResEthiq for the platform during the twelve months preceding the event giving rise to the claim, except where otherwise required by applicable law or expressly agreed in writing.

Disclaimer of Warranties

ResEthiq is provided on an "as is" and "as available" basis to the extent permitted by law.

We do not guarantee that:

  • The platform will always be available or uninterrupted

  • All detected risks or anomalies will be identified

  • All verification results will be error-free

  • AI systems assessed through ResEthiq will remain compliant or risk-free after assessment

  • ResEthiq outputs will satisfy every applicable regulatory or organizational requirement

ResEthiq is an assurance and evidence platform and does not replace appropriate human oversight, professional judgment, legal review, regulatory consultation, or organizational governance.

Changes to These Terms

We may update these Terms of Service from time to time. Updated terms will be posted on this page together with the applicable effective date.

Where required by law or applicable agreement, we will provide additional notice of material changes.

Your continued use of ResEthiq following the effective date of revised Terms constitutes acceptance of the updated Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the applicable laws specified in your applicable agreement with ResEthiq.

Where no separate agreement specifies governing law or jurisdiction, disputes shall be subject to the jurisdiction of the courts applicable to the ResEthiq contracting entity, subject to applicable law.
